OpenEXA Inc. is a dynamic crypto startup that is revolutionizing the acquisition, holding, and utilization of Stablecoins, a type of cryptocurrency backed by stable assets. Our mission is to make Stablecoins more accessible and cost-effective by leveraging Real-World Assets (RWAs) and on-chain trading. By reducing the acquisition and holding costs from over 500 basis points (bps) to just over 100 basis points (bps), we aim to enable institutional participation in the crypto markets and unlock growth opportunities.

We are seeking a talented and experienced General Counsel to join our team. As the General Counsel at OpenEXA, you will play a critical role in providing legal guidance, ensuring regulatory compliance, and managing legal risks associated with our operations. You will work closely with cross-functional teams and provide strategic advice on legal matters, contracts, intellectual property, privacy, and compliance to support the company's growth.

Responsibilities:

  • Provide legal counsel and support to internal teams on a wide range of legal matters, including regulatory compliance, contracts, intellectual property, data privacy, and corporate governance.
  • Monitor and assess the legal and regulatory landscape in the crypto industry to ensure compliance with applicable laws and regulations.
  • Draft, review, and negotiate contracts, agreements, and other legal documents with customers, partners, and vendors.
  • Advise on intellectual property protection and manage patent, trademark, and copyright matters.
  • Collaborate with external legal counsel, as necessary, on specialized legal matters.
  • Develop and implement legal policies, processes, and training programs to promote compliance and mitigate legal risks.
  • Stay up-to-date with emerging legal trends and regulations in the crypto and fintech industries.
  • Assist with corporate transactions, including financing, mergers, acquisitions, and strategic partnerships.
  • Handle any legal disputes, litigation, or regulatory inquiries that may arise.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
  • Minimum of 5 years of legal experience, with a focus on technology, fintech, or cryptocurrency-related matters.
  • Strong knowledge of applicable laws, regulations, and industry standards related to cryptocurrencies, blockchain, and fintech.
  • Experience with regulatory compliance, data privacy, intellectual property, and contract law.
  • Excellent drafting and negotiation skills with attention to detail.
  • Ability to provide clear and practical legal advice to non-legal stakeholders.
  • Strong analytical and problem-solving abilities with the capacity to assess and manage legal risks.
  • Exceptional communication and interpersonal skills, with the ability to collaborate effectively with internal teams and external stakeholders.
  • Proven track record of handling complex legal matters and providing strategic guidance.
  • Familiarity with international legal frameworks and cross-border transactions is a plus.
  • Experience in a startup or fast-paced environment is preferred.
